Overview

Biography

Chris is Barclay Damon’s Health Care Practice Group leader and former Corporate Practice Area co-chair. He previously served as chair of Damon Morey and served on its Management, Finance, Personnel, and Client Development Committees.

Chris primarily works with closely held businesses and not-for-profit corporations, routinely assisting with health care corporate and regulatory matters. He has extensive experience with corporate and partnership formations; reorganizations; business start-ups; debt and equity financing; business-succession planning; dispute resolution; governance; compliance; contract review; and shareholder and operating agreements. He also represents numerous entities in mergers and acquisitions in industries such as health care, construction, manufacturing, and retail.

Chris additionally represents physician groups and individual physicians in a wide variety of transactional matters, including the sale of physician practices, and represents family-owned companies involved in governance issues and shareholders disputes.

Experience

Representative Experience

  • Represented the owner in the sale of 16 facility operations that included a pharmacy as well as long-term-care, assisted living, and independent-living facilities
  • Represented the owner in the sale leaseback of multiple long-term-care facilities to a real estate investment trust.
  • Represented the owner of a wholesale long-term-care pharmacy in the sale to a national pharmacy company.
  • Served as co-founding director of several not-for-profit entities engaged in the development of a 500,000 sq. ft. historic-preservation project.
  • Represented multiple owners of long-term-care providers in the acquisition, construction, and development of multiple facilities, including financing transactions through multiple commercial and governmental entities such as the US Department of Housing and Urban Development, the Dormitory Authority of the State of New York, and industrial development agencies.
  • Served as transaction counsel to the purchase of the business assets of a closely held industrial abrasives manufacturer and distributor by a WNY-based private equity company.
  • Represented a purchaser in the $1.2 million acquisition of the stock of a national aluminum ladder and dock manufacturer.
  • Represented a purchaser in its $450,000 acquisition of the business assets of a consulting, bookkeeping, payroll, and tax preparation services firm.
  • Represented a purchaser in its $2.4 million acquisition of the business assets of a Georgia rifle and rifle accessory designer and manufacturer.
  • Representing a not-for-profit rural health care enterprise in restructuring and corporate governance matters.
