Overview

Biography

John is the former chair of Barclay Damon’s Real Estate Practice Area. With over 40 years of legal experience, John primarily concentrates his practice on real estate, financial transactions, and related business matters. He additionally has extensive experience in estate planning and counsels individuals and families in wealth management.

John represents institutional mortgage lenders in all aspects of mortgage-loan transactions secured by multiple-family complexes, shopping centers, and hotels. He also handles asset recovery and represents lenders in mortgage-foreclosure work. John serves as counsel for industrial development agencies with respect to their involvement in real-estate-related transactions and he represents businesses and charities in general corporate, trusts and estates, and real estate issues. In leasing matters, he represents both landlords and tenants in negotiations for retail, office, manufacturing, and shopping-center lease transactions as well as real estate development ground-lease transactions.

Furthermore, he supervises mortgage-loan transactions and collaborates with litigation attorneys in matters involving adverse possession, rights of way, and other litigation matters. John additionally provides services for title underwriters in the role of examining counsel and represents title-insurance companies in title-defense claim work. He also serves as counsel for national and local residential builders who are active in the NYS market.

Experience

Representative Experience

  • Performs services as local counsel for lenders who have active loan practice in New York State, including reviewing title policies, negotiating mortgage assignments, and other related matters as NYS counsel.
  • Closed a mortgage-loan transaction for a large boat-storage and repair facility that required involvement with a local IDA and SBA as related transactions. The transaction also required review-of-title work for multiple parcels as well as documentation for multiple mortgages on the facilities.
  • Represented the owner of multiple hotels and hospitality facilities in New York State in numerous mortgage-finance transactions and managed all aspects of the transactions, including negotiating loan commitments, providing for title insurance, surveying, and general corporate work.
  • Represented a federal credit union in commercial-mortgage loans involving multiple properties in various counties that required extensive title examination for the multiple parcels.
  • Provided representation for a matter that involved extensive lease negotiations on behalf of a medical billing company and required significant negotiations with respect to the business and legal terms as well as a review of tenant work and landlord work.
  • Provided representation for a matter that involved negotiations for a contract of sale for a local hotel and restaurant that involved extensive contract negotiations with a national company and provided all services necessary to conclude the transaction.
  • Represented a utility in the sale of property involving a complex relationship that involved extensive review of ground-lease and occupancy-lease status.
  • Worked on an extremely challenging and complicated real-estate acquisition that involved a multitude of serious title issues and sophisticated resolutions of title issues, enabling the client to construct a multi-million facility on the acquired property.
  • Represented a client in the purchase and refinancing of shopping centers in multiple states and worked on the acquisition and loan financing of transactions.
  • Represented a federal credit union in the refinancing of over 10 multi-family properties in multiple NYS counties. The loan was secured by two mortgages and involved the assignment and consolidation of multiple prior mortgages with different lenders as well as substantial title and diligence review.
  • Settled a decedent's revocable inter vivos trust containing all of his assets, including his shares in a business
