Gathering System Purchase Earns Regulator's Approval
A major national pipeline company had entered into an agreement to purchase a gathering system in New York State. Overall concerns surrounding Marcellus shale development was delaying the review process.
We represented the company in its communications with the Public Service Commission to help the PSC understand the significance of the transaction and the importance of a timely decision.
During the review process, the company was asked by the PSC to share sensitive information it had filed with federal regulators under the Hart Scott Rodino Antitrust Improvement Act. Our attorneys worked with the PSC to balance its need for information to complete its decision and the company’s need to protect sensitive information from its competitors. When a newspaper sought access to that same information under a Freedom of Information request, we successfully petitioned to protect the company’s proprietary information.
The client was able to successfully and timely able to close the acquisition.
